Guide to Directors’ Duties and Liabilities

Regulatory and political scrutiny of boards has led to an increase in the risks and potential liabilities faced by individual directors. The impact of this new environment is also felt in the rising number of directors’ and officers’ (D&O) insurance claims. The Report helps board members understand the extent of their liabilities in this complex and increasingly challenging new world.

Cahier Internal Governance

With the support of Ageas, Deloitte and Laga, in 2008 GUBERNA created the Centre Internal Governance aiming to raise governance awareness at the level of corporate groups, their subsidiaries and directors. 

Succession and takeover

Van ondernemers en bedrijfsleiders wordt doorgaans verwacht dat ze vooruitziend zijn en toekomstgericht denken. Sommigen dichten hen zelfs toekomst voorspellende kwaliteiten toe. En toch, wanneer het aankomt op de toekomst (over de generaties heen) van het eigen bedrijf, vergeet men nogal snel dat ook het eigen leven niet eeuwig durend is. Men meent dat er voor het nadenken over de opvolging en/of overname van de onderneming nog ruimschoots tijd is. Niets is echter minder waar, maar zoals zo vaak ligt (een deel van) de oplossing van een probleem in een tijdige en gestructureerde aanpak ervan.

Towards dynamic governance

(2015) Monitoring study on the Belgian Code on Corporate Governance - NL

Dit rapport onderzoekt de naleving van de ‘formele’ aspecten van de Code 2009, op basis van de laatst beschikbare publieke informatie van de ondernemingen, zoals onder meer de jaarverslagen (2014), de Corporate Governance Verklaringen en de Corporate Governance Charters. Het onderzoek wordt uitgevoerd bij de 78 genoteerde ondernemingen uit de drie belangrijkste beursindices (BEL 20, BEL Mid, BEL Small).
